1. Agreement
These Terms of Service ("Terms") govern the use of our website and any services provided by Solenarc ("we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
2. Services
We provide product strategy, design, and software development services. The scope, timeline, and deliverables for each engagement are defined in a separate proposal or statement of work that both parties approve.
3. Client Responsibilities
You agree to provide timely feedback, access to necessary systems, and any materials required to deliver the project. Delays caused by missing information may impact delivery dates and costs.
4. Fees and Payment
All fees are outlined in the project proposal. Unless stated otherwise, invoices are due within 14 days. Late payments may pause work or incur interest at 2% per month on outstanding balances.
5. Intellectual Property
Upon full payment, you receive ownership of final project deliverables. We retain rights to underlying tools, libraries, and know-how used to produce the work, along with the right to showcase the project unless otherwise agreed in writing.
6. Confidentiality
Both parties agree to keep confidential information private and to use it solely for purposes of the engagement. This obligation survives the termination of these Terms.
7. Warranties and Disclaimers
We deliver work with reasonable skill and care, but we do not guarantee uninterrupted or error-free performance. Except as expressly stated, our services are provided "as is" without additional warranties.
8. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising out of these Terms is limited to the amount you paid for the services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
9. Indemnity
You agree to indemnify and hold us harmless from any claims or losses arising from your use of the deliverables, breach of these Terms, or violation of applicable laws.
10. Termination
Either party may terminate an engagement for material breach with written notice. You are responsible for fees incurred up to the date of termination, including any committed third-party costs.
11. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
